Private (S)EIS Investing

For the private investor, tax-efficient fund structures such as EIS and SEIS, enable UK taxpayers to access a diversified portfolio of early-stage and private companies that meet HMRC qualifying status. These companies have been identified as having the potential for significant capital growth, while the structure of the fund provides investors with tax reliefs which mitigates downside and enhances returns.

Enterprise Investment Schemes (EIS) provide investors with the ability to hold a diversified portfolio of eligible start-up, early-stage and later-stage private companies. The EIS offers UK private investors various tax reliefs* including:

  • Individual Income Tax relief of up to 30% per year (limited to £1m invested per tax year or £2m if at least £1m of this is in knowledge-intensive businesses such as life sciences);
  • Capital Gains Tax relief on the sale of shares held for three years or more;
  • Inheritance Tax relief on shares bought and held via the EIS for two years;
  • Loss relief on an investor’s at-risk investment as a proportion of the individual’s tax rate;

Seis Investing

A Seed Enterprise Investment Scheme (SEIS) is a management portfolio that invests in eligible start-up ventures and provides incentives in the form of tax reliefs to the UK investor. The tax reliefs*  offered include:

  • 50% Individual Income Tax relief on up to £100,000 invested;
  • Capital Gains Tax relief on the sale of shares held for three years or more;
  • Loss relief as a proportion of investors’ tax rate;
